Pionyr Media – Terms of Service (ToS)
1. Scope
• These Terms of Service (ToS) govern the collaboration between Pionyr Media and influencers/content creators (hereinafter “Creator”).
• By registering and participating in the Creator Program, the Creator accepts these terms.
2. Eligibility
• Eligible to participate are natural persons aged 18 or older, as well as legal entities (e.g., agencies, companies).
• Persons aged 13 or older may participate if they provide explicit consent from their legal guardians.
• For underage Creators, payments are made exclusively in the form of vouchers or comparable non-cash benefits.
• The Creator commits to publishing only authentic content and not using bots, fake accounts, or comparable methods.
• Successful registration is required for participation. Necessary contact and payment information must be provided.
• Pionyr Media reserves the right to reject applications without giving reasons.
3. Creator Code
• Each Creator receives a personal Creator Code after successful registration.
• All installs tracked through the use of this code will be assigned to the respective Creator.
• The percentage share that Creators receive from the net revenue generated via their Creator Code is specified either on the campaign’s landing page or in the confirmation email after successful registration.
• Multiple accounts of the same person are not allowed if used to generate additional installs or compensation.
4. Compensation
• Compensation is based on the number of qualified installs (QI) assigned to a Creator Code.
• A qualified install is defined as follows:
◦ Botting, fake or duplicate accounts, and other fraudulent methods have been excluded,
◦ The Creator Code was correctly entered within 24 hours of installation,
◦ The user comes from one of the campaign’s defined target regions,
◦ The minimum playtime of 15 minutes within the first 24 hours has been reached.
• For each qualified install, the Creator receives a fixed payment according to the currently valid rates.
• Additional bonus payments may be granted once certain thresholds are reached (e.g., 200, 600, 2,000 installs). Exact bonus levels are published on the campaign website or in the confirmation email after registration.
• Bonus payments are not cumulative, meaning that at higher levels, the total bonus already includes the previous levels.
• Pionyr Media reserves the right to adjust compensation or bonus payments for future campaigns. Already achieved or ongoing campaigns remain unaffected.
5. Payment • Payments are made monthly if the payout threshold has been reached.
• The regular payout threshold is €10 for Creators from Indonesia and €15 for Creators from Japan.
• Amounts below the threshold will be accumulated until the threshold is reached.
• Underage Creators receive their remuneration exclusively in the form of vouchers or comparable non-cash benefits.
• In their personal Creator dashboard, each adult partner can choose from several payout methods; some may require higher minimum payout amounts.
• Payments are usually made via Wise (or a comparable service provider).
• Any transfer or processing fees will be transparently communicated and deducted from the payout amount.
• Pionyr Media reserves the right to withhold payments in cases of suspected fraud or abuse until clarified.
6. Duties of the Creator • Creators must comply with applicable laws and platform guidelines when publishing content.
• Discriminatory, illegal, or harmful-to-minors content is prohibited.
• Advertising must be clearly marked as such in accordance with local legal requirements (e.g., “Ad” or “PR”).
• Pionyr Media may request the removal of content that violates these rules.
• The Creator is solely responsible for the content they publish in connection with the campaign.
• The Creator is required to provide up-to-date contact and payment details and report any changes immediately.
7. Pay-when-paid Principle • Payments to Creators are only made if and when Pionyr Media itself has received the corresponding payments from clients (e.g., developers/publishers).
• Until actual payment is received from the client, there is no entitlement to payout.
• This principle applies to both fixed compensation and bonus payments.
8. Fraud and Abuse • Any attempt to manipulate the system will result in immediate exclusion from participation.
• Manipulation includes but is not limited to: botting, fake or multiple accounts, use of VPNs or proxies to mask location, and artificially generating installs by the Creator or third parties.
• Multiple accounts of the same person are not allowed if used to generate additional installs or compensation.
• Pionyr Media reserves the right to technically investigate suspicious activities and withhold payments until clarification.
• Creators who violate these rules lose all entitlement to compensation; already paid amounts may be reclaimed.
• Criminal prosecution and claims for damages are expressly reserved.
9. Term and Termination • These ToS apply from successful registration and acceptance by the Creator for an indefinite period.
• Both parties may terminate the collaboration at any time without giving reasons; a short notification via email is sufficient.
• Pionyr Media may pause or end ongoing campaigns at any time if economic, technical, or legal reasons require it.
• Upon termination, the assigned Creator Code will be deactivated; all Pionyr Media brand and campaign materials must be removed from profiles and content.
• The Creator Code may remain active after a campaign ends in certain cases; in such instances, only other compensation models will be deactivated, and the Creator will be notified.
• Outstanding compensation will be settled according to Section 4 and Section 5, solely under the pay-when-paid principle (Section 7).
• If the account balance is below the applicable payout threshold, no payment will be made; Pionyr Media may, at its discretion, offer a payout below the threshold, possibly minus fees.
• In cases of suspected fraud or abuse, settlements and payouts may be withheld until clarified; installs proven to be fraudulent will not be compensated.
• Statutory retention periods for billing and contractual data remain unaffected. Liability, fraud, and jurisdiction provisions remain in force beyond termination.
10. Liability and Warranty • Pionyr Media provides no guarantee for specific reach, revenue, or success metrics.
• No liability exists for outages or disruptions beyond Pionyr Media’s control.
• In cases of intent or gross negligence, Pionyr Media is liable under statutory provisions.
11. Governing Law and Jurisdiction • German law applies, excluding the UN Sales Convention.
• The place of jurisdiction, insofar as permitted, is the registered office of Pionyr Media.
• Mandatory consumer protection laws of the Creator’s country of residence remain unaffected.
12. Changes to the ToS • Pionyr Media may amend these ToS with effect for the future.
• Changes will be communicated in advance in text form; continued participation constitutes acceptance.
• For already ongoing or confirmed campaigns, the terms valid at the start apply unless otherwise agreed.
13. Data Protection • Personal data is processed exclusively for the purpose of executing the program and is protected in accordance with applicable data protection laws.
• Details are set out in the separate privacy policy, which forms part of these ToS.
• Creators are required to keep their data up to date.
14. Advertising Disclosure • Creators must label all content as advertising in accordance with applicable disclosure requirements.
• In Japan, clear labeling, e.g., “PR”, is required; in other countries, the respective platform and authority rules apply.
• Violations may result in suspension of the code and exclusion from the program.
15. Usage Rights to Materials • Materials provided by Pionyr Media may only be used for campaign purposes and must remain unaltered unless expressly permitted otherwise.
• Creators grant Pionyr Media a simple, time- and territory-limited right to use content they provide, insofar as this is required for documentation and promotion of the campaign.
16. Taxes and Duties • Creators are responsible for proper taxation of their income.
• Pionyr Media may make legally required deductions if applicable and will notify the Creator where relevant.
17. Severability Clause • If any provision of these ToS is invalid, the validity of the remaining provisions shall remain unaffected.
• In place of the invalid provision, a regulation that most closely matches the economic purpose shall apply.
